Terms of Service

1. Acceptance of These Terms
These Terms of Service (“Terms”) constitute a binding agreement between you (the “Customer”, “you”) and Zumper Techrush Private Limited (“Zumper Techrush”, “we”, “our”), the owner and operator of the Waami WhatsApp Cloud CRM service (“Waami” or the “Service”). By registering for, accessing or using Waami, or by clicking “I agree” during sign-up, you accept and agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Description of the Service
Waami is a WhatsApp Cloud CRM platform built on the official WhatsApp Cloud API. It enables businesses to connect a WhatsApp Business number, manage customer conversations in a shared team inbox, configure automated replies and chatbots, run broadcast campaigns using WhatsApp message templates, and manage contacts, labels and customer relationship data. The Service is provided as software-as-a-service over the internet, and is subject to the applicable WhatsApp Cloud API terms, the WhatsApp Business Policy and the Meta Platform Terms, which may change from time to time.
3. Eligibility and Account Responsibilities
- You must be at least 18 years old and have the legal authority to bind the business on whose behalf you use Waami.
- You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
- You must provide accurate, current and complete registration information and keep it updated.
- You must have the necessary rights and permissions to connect the WhatsApp Business number(s) you register with Waami, including ownership of the number or authorization from the number's owner.
- You are responsible for your team's compliance with these Terms and with applicable WhatsApp and Meta policies.
- You must comply with all applicable laws, including Indian data protection law (the Digital Personal Data Protection Act, 2023), in your use of the Service.
4. Acceptable Use Policy
You agree not to use Waami to:
- Send spam, unsolicited or unauthorized messages, or messages to users who have not consented to receive them.
- Send any illegal, fraudulent, defamatory, harassing, abusive, obscene or otherwise objectionable content.
- Use the Service in violation of the WhatsApp Business Policy, the Meta Platform Terms, the WhatsApp Cloud API terms, or any other Meta policy applicable to your WhatsApp Business Account.
- Use message templates or broadcast features for purposes other than legitimate business communication with opted-in customers.
- Attempt to access, disrupt, reverse engineer or interfere with the Service, its infrastructure or other users' accounts.
- Misrepresent your identity or the purpose of your messages, or use the Service for any purpose other than as an internal business tool.
We may suspend or terminate access to the Service, without notice, if we reasonably believe you are in violation of this Section 4 or of applicable WhatsApp/Meta policies, in order to protect the Service and our other customers.
5. Fees and Billing
The Service may be offered under subscription plans, with fees as displayed on the Waami pricing page or as agreed in writing with our team. Unless otherwise stated: (a) fees are in Indian Rupees (INR) or as invoiced; (b) subscriptions are billed in advance on a monthly or annual basis; and (c) fees are non-refundable except as required by law or as expressly agreed in writing. We may change our pricing with reasonable advance notice. Any applicable taxes, including GST, are additional. You are also responsible for any usage-based charges levied by Meta in connection with the WhatsApp Cloud API.
6. Intellectual Property
All intellectual property in and to Waami — including the software, design, branding, documentation and any proprietary technology — is owned by Zumper Techrush or its licensors. You receive a limited, non-exclusive, non-transferable, revocable right to use the Service solely for your internal business purposes, and no other rights. You retain all rights in your own business data. You may not copy, modify, distribute, sell or create derivative works of the Service or its materials without our prior written consent.
7. Limitation of Liability
To the maximum extent permitted by law, Zumper Techrush shall not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, goodwill or business opportunity, arising out of or related to your use of, or inability to use, the Service — including any interruption, suspension, unavailability or failure of the Service or of the WhatsApp Cloud API. Our total aggregate liability for all claims arising from or relating to the Service shall not exceed the total fees you paid to us for the Service in the three (3) months preceding the claim. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.
8. Termination
- You may terminate your account at any time by contacting us or by using the “Delete Account” option in the Waami dashboard (Settings → Account). See our User Data Deletion page for details on what happens to your data.
- We may suspend or terminate your access to the Service immediately upon notice if you breach these Terms, violate applicable WhatsApp/Meta policies, or if required by law or by Meta.
- Upon termination, your right to use the Service ceases. We will delete or return your data in accordance with our User Data Deletion process and applicable law. Provisions of these Terms which by their nature should survive termination (including Sections 6, 7 and 9) shall survive.
9. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Service shall first be referred to good-faith negotiation between the parties. If the dispute is not resolved within thirty (30) days, it shall be subject to the exclusive jurisdiction of the courts of Lucknow, Uttar Pradesh, India.
10. Changes to These Terms
We may revise these Terms from time to time. When we do, we will post the revised Terms on this page with an updated “Last Updated” date and, for material changes, notify you by email or within the Service. Continued use of the Service after the changes take effect constitutes acceptance of the revised Terms.
